Position Overview

The Company Secretary and Compliance Officer will join the leadership team to ensure the highest standards of corporate governance and compliance across the organization and its subsidiaries. Reporting to the CFO and Board of Directors, this dual role—approximately 70% Company Secretary and 30% Compliance Officer—advises the Board and ensures full statutory and regulatory compliance across all business entities.

Key Responsibilities

  • Independently manage and convene all Board, Committee, and General Meetings for the company and its subsidiaries.
  • Prepare and circulate agendas, board packs, and supporting documents; draft and finalize minutes; track action items to completion.
  • Ensure full compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable corporate laws.
  • Manage all filings with the Ministry of Corporate Affairs (MCA), Stock Exchanges (NSE/BSE), and other regulatory bodies.
  • Maintain statutory books, registers, and records as required by law.
  • Advise the Board of Directors on corporate governance, ethics, and best practices.
  • Oversee shareholder communications, dividend payments, share transfers, and dematerialization processes.
  • Serve as the primary liaison for FSSAI, MOEFCC, state excise authorities, and external auditors on compliance matters.
  • Develop, implement, and maintain the company’s compliance framework across distilleries in Rajasthan, Haryana, West Bengal, Bihar, Jharkhand, and UP.
  • Conduct internal reviews and audits to ensure compliance effectiveness and proactively address potential risk areas.

Required Experience & Qualifications

  • Education: Qualified Member of the Institute of Company Secretaries of India (ICSI) is mandatory; Bachelor of Law (LLB) preferred.
  • Experience: 10–15 years of post-qualification experience as a Company Secretary in a publicly listed company.
  • Leadership: Reports directly to the CFO and Board of Directors; manages compliance across multiple subsidiaries and geographies.
  • Technical Expertise: Deep knowledge of Indian corporate law, SEBI regulations, FSSAI guidelines, and MOEFCC compliances.
  • Soft Skills: Exceptional communication, organizational, and stakeholder management abilities.
