Position Overview
The Company Secretary role ensures the organization’s compliance with the Companies Act 2013 and other statutory laws. This position plays a pivotal role in upholding corporate governance standards, managing regulatory relationships, and supporting senior management in maintaining transparency and accountability across all business operations.
Key Responsibilities
- Ensure full compliance with the Companies Act, Income-tax, RBI, and other applicable regulations, including NBFC and MFI requirements.
- Perform statutory duties and legal formalities as per governing laws and internal policies.
- Develop and implement systems to monitor adherence to all legal and statutory obligations.
- Ensure timely completion and closure of all audit reports in line with company policies.
- Manage and resolve conflicts of interest between directors and governance bodies in the best interests of the organization.
- Oversee compliance processes across all branches to ensure operational and statutory alignment.
- Control errors, report frauds, and prevent cost leakages through robust monitoring mechanisms.
- Handle RBI regulations on fraud reporting and monitoring, including guiding branches and reporting to senior management.
- Ensure adherence to RBI guidelines on fraud investigation, FIR filing, and reporting protocols.
- Drive continuous improvement in compliance systems and governance frameworks.
Required Experience & Qualifications
- Education: Qualified Company Secretary.
- Experience: Minimum 10+ years of experience in NBFC operations and compliance.
- Leadership: Proven ability to guide multiple branches and coordinate with senior management and regulatory authorities.
- Technical Expertise: Strong knowledge of Companies Act 2013, RBI regulations, audit compliance, and fraud reporting systems.
- Soft Skills: Excellent drafting, communication, and presentation skills; strong analytical and organizational abilities; result-oriented and self-motivated.
